Statement of Information Must Be Filed Annually by Every California Corporation & Biennually by Every LLC

Update: Due to state cutbacks and increased processing times, the California Secretary of State requires the remittance of a $350 expedited filing fee to file a document and receive a certified copy back within 72 Hours.

Los Angeles business and corporations attorney, Melissa Marsh, will prepare and file your Statement of Information, have it hand delivered to the California Secretary of State, and return a file stamped copy to you for placement in your corporate or LLC record book. The fee for a California corporation is just $279. The fee for a California limited liability company is $299 plus the costs. If you need a certified copy, there is an additional fee.

We can also retrieve a copy of your Statement of Information within 10 days for just $199 plus the costs. Please note that the Secretary of State's Office does not offer an expedited service on the retrieval of documents. At present, mail in processing times are exceeding 12 weeks. If the request is hand delivered by our office, we can typically receive a file stamped copy within 10 days.

When a Corporation or LLC Must File a Statement of Information with the California Secretary of State

Pursuant to California law, every for profit California corporation and every California limited liability company (LLC) must file a Statement of Information with the California Secretary of State within 90 days of filing the original Articles of Incorporation (or Articles of Organization).

A for profit corporation must re-file the Statement of Information annually and whenever the corporation: (1) moves, (2) elects new officers, (3) adds or deletes directors, (3) changes the name of its registered agent for service of process, or (4) changes the type of business the corporation (or LLC) is engaged in.

A California LLC must re-file (update) its Statement of Information biennially and whenever there is a change to:

  1. The name of the limited liability company;
  2. The name and/or address of the agent for service of process required to be maintained;
  3. The street address of the LLC's principal executive office; or
  4. The name and complete business or residence addresses of any manager, officer or the Chief executive officer, if any. If the LLC is a member-managed LLC, the LLC must refile the Statement of Information if the name and/or business or residence address of each member changes; or
  5. If the principal business activity of the LLC changes.

It should be noted that both the corporation and the LLC must file the Statement of Information even if the corporation or LLC is no longer actively engaged in business. That is correct...even if you have transacted no business, you still must file the Statement of Information.

California Statement of Information Filing Fee

When the Statement of Information is filed, it must be submitted with the appropriate filing fee: $25 for a California corporation and $20 for a California limited liability company (LLC), and it should be submitted with a copy and self-addressed stamped envelope so the Secretary of State can return a filed stamped copy to you. At present the Secretary of State is taking up to 4 months to return the copy.

How Do I File the Statement of Information for a California Corporation

The California Statement of Information for a California corporation requests information about the corporation's primary address and mailing address; the name and address of the Chief Executive Officer, Secretary, and Chief Financial Officer (Treasurer), the director(s), the agent of service of process; and the business engaged in by the corporation. Once the form is completed and signed, the original should be mailed (or hand delivered to lessen the processing time) to the California Secretary of State with: (1) a cover letter requesting the return of a file stamped copy; (2) a copy of the completed and signed Statement of Information; and (3) a self-addressed stamped envelope.

If you mail the California Secretary of State an updated Statement of Information, it will take 2-4 months for the State to process it. If you need a Statement of Information processed in less time, we can hand deliver your statement to the Secretary of State and with the State expedite fee, have it processed within 3 Days.

How Do I File the Statement of Information for a California Limited Liability Company (LLC)

The California Statement of Information for a California limited liability company (LLC) requests information about the LLC's primary address and mailing address; the name and address of the Chief Executive Officer, if any; the name and address of the managers (if any) and if no manager the name and personal address of each member; the agent of service of process; and the business engaged in by the LLC. Once the form is completed and signed, the original should be mailed (or hand delivered to reduce the processing time) to the California Secretary of State with: (1) a cover letter requesting the return of a file stamped copy; (2) a copy of the completed and signed Statement of Information; and (3) a self-addressed stamped envelope.

How To Get A Certified Copy of the Statement of Information For a California Corporation or LLC

In some cases, the owners of a business may need a certified copy of the Statement of Information, which we can also obtain for you. Why would you need a certified copy? In some cases, a bank, insurance company, lender, or court will require a certified copy of the Statement of Information to open a bank account, acquire a loan or close escrow, obtain health insurance, or as proof the corporation has the legal right to sue, or defend, a cause of action in court. We can procure a copy for you within 10 days by submitting the request in person to the Secretary of State. Need it faster? We can submit a new statement of information on an expedited basis and receive a certified copy back within 72 hours.

If you would like us to prepare and hand deliver your Statement of Information to the California Secretary of State for a faster processing time, our fee is $279-$299 plus costs. If you need to file on an expedited basis (48 - 72 hour turn-a-round time), the California Secretary of State requires the remittance of their $350 expedite fee in addition to the $25 annual filing fee.

We can also obtain a copy of a prior California Statement of Information, or your Articles of Incorporation within 7 business days for a flat fee of $199.
