  • Business Transactions:
Whether you are thinking about starting a business, or have been operating a successful business for many years, Melissa Marsh has been helping businesses succeed throughout southern California by providing personalized business advice and transaction services that focus on the client’s objectives.
  • Corporations:
Whether you are planning to incorporate, or have an established corporation, we assist our clients in forming, organizing, maintaining, restructuring and dissolving the corporate entity.
  • Employment Law:
We assist both employees and employers. For employees, we review severance packages and assist them with bringing wage and overtime claims. For employers, we conduct employment audits to ensure compliance with California's wage and hour laws; aid in the development of proper hiring and termination procedures; and prepare employment agreements, independent contractor agreements, effective employee policies and practices, and severance agreements to mitigate and reduce the possibility of discrimination and retaliation claims.
  • Internet-Computer Law:
Doing business on the Internet presents both an opportunity and a risk. Melissa Marsh assists her clients in addressing such issues as: domain name hijacking; copyright and trademark protection and infringement; advertising and listing agreements; defamation; privacy; and compliance with California’s consumer protection laws through properly drafted terms of use and refund policies. Ms. Marsh also represents a myriad of hi tech companies and in addition to general corporate work, is often called upon to prepare and negotiate hardware and software development, maintenance, licensing, and distribution contracts.
  • Landlord-Tenant:
Landlord Tenant law involves not only eviction services in Los Angeles, but also the preparation of various documents and notices that can often help to mitigate the potential for litigations such as: California residential rental agreements and leases that conform where necessary to rent control provisions, three day notices to pay rent or quit that will stand up in court, 30 and 60 Day Notices to Quit, letters to landlords. I also provide advice to both California landlords and tenants regarding: the validity of the rental agreement or lease, Security Deposits and Prepaid Rent; the tenant's duty to pay rent; the landlord's duty to maintain; the right of access; and Eviction. In many cases, a landlord will pull a form 3 30 or 60 notice off the internet, and when reviewed on behalf of a tenant I might advise a tenant that the notice is defective and that the Los Angeles Landlord will not be able to bring a successful eviction. If representing a landlord, I will ensure that the Notices and Eviction paperwork is properly prepared and served on the tenant so there are few surprises in Court if proceeding to trial.
  • Limited Liability Company:
Whether you are planning to form an LLC, or have an established LLC, we assist our clients in forming, organizing, maintaining, restructuring and dissolving LLCs. While the LLC is often the best entity to hold real estate investment properties, it is not necessarily the best vehicle for businesses.
  • Partnerships:
If you are planning to enter into a business relationship with another person, we can prepare your partnership agreement and/or buy-sell agreement. If you have an established partnership, but are seeking limited liability protection we can assist you with the conversion of your partnership into a corporation.
  • Real Estate Law:
This area of my practice focuses on residential and commercial real estate matters, including: (1) the purchase and sale of both residential and commercial properties; (2) the drafting, review and negotiation of both residential and commercial leases; (3) advising condominium homeowner associations and residents; and (4) landlord-tenant matters.
  • Trademark & Copyright:
I offer comprehensive services for creating, maintaining, licensing, protecting, and enforcing intellectual property rights (copyrights, trademarks, and trade secrets); preventing unfair competition and false advertising claims; protecting their software code; and in licensing protected works.
  • Wills & Trusts:
