CALL 818-849-5206 if you want to form a California Corporation or LLC to: (1) prevent creditors of your business or investment real estate from taking your personal assets, and to (2) asset protect your personal assets from business debts, obligations & liabilities.
Melissa C. Marsh, a Los Angeles, California business attorney with 20+ years experience, has formed, organized and represented hundreds of California limited liability companies (LLCs), sometimes called limited liability corporations. Ms. Marsh has extensive knowledge about California limited liability companies. She wrote a chapter about the California limited liability company for California attorneys, and she is the author of a comprehensive limited liability company operating agreement supplied by a major legal publisher to attorneys throughout California. Before you decide to form a California LLC, we would like to know why you want to form a California LLC. Is it for personal limited liability protection; to hold or manage real estate; potential tax savings; to lessen the risk of an audit; for prestige; to formalize an agreement among partners or investors? Once we know why, we will then also want to know your personal concerns about forming a California LLC, or corporation. Once we have gathered that information, we will be able to help you decide if a California LLC, or a California corporation, will better suit your needs.

Why You Should Hire California Attorney Melissa Marsh to Form Your LLC

Flat Fee Limited Liability Company Formation Service – Just $1,299+Costs.
We can form a single owner California limited liability company (LLC) corporation in less than 10 business days for as little as $1,299+Costs. An LLC owned by a husband and wife, or domestic partners, are considered a single member LLC. Our Flat Fee Service to form a multi-member, or multi-manager, California LLC is an additional $500+ due to the complexity of creating a custom 50+ page LLC Operating Agreement that sets forth all of the rights and responsibilities of the individual members. California law does not permit professional LLCs.

Already formed an LLC, Need A "Real" Attorney Prepared LLC Operating Agreement?
You can have a custom 30-page attorney prepared LLC Operating Agreement (either member managed or manager managed) for as little as $750 for a single member LLC Operating Agreement (which is proper for LLCs owned by a husband and wife or domestic partners). Our fee to prepare a custom 50+ page multi-member LLC Operating Agreement with buy-sell provisions is a bit more due to the complex issues that must be dealt with regarding the individual rights and responsibilities of each member.

LLC Member Buy-Sell Provisions.
If your California limited liability company will be owned by more than one individual (excluding a husband and wife or domestic partners) having Buy-Sell provisions are crucial. If you already have an Operating Agreement, we can amend your existing LLC Operating Agreement to provide appropriate buy-sell provisions, or we can prepare a new Operating Agreement for your LLC. If we have prepared your California LLC Operating Agreement, your Operating Agreement already contains Buy-Sell Provisions and you do not need this service.

LLC Compliance Program – Just $199 per year.
California has been suspending California LLCs that fail to file their Information Statement of Members and Managers in a timely fashion, fail to file their state tax return, and/or fail to pay the annual taxes due to the Franchise Tax Board. For the members of a California limited liability company to maintain their personal limited liability protection, the information maintained by the California Secretary of State must be properly and timely filed and your California LLC should hold an annual meeting of its members to validate the business that has transpired. Our Limited Liability Company (LLC) Compliance Plan is designed to ensure your Statement of Information is prepared in a timely fashion and kept up to date (so as to avoid the $250 penalty and possible LLC suspension and to strengthen your member's personal liability shield by preparing annual unanimous written consents to document significant LLC acts such as a new office location, additional of a new member or manager, the removal of a member or manager, etc..

Revive a Suspended LLC.
We can help you revive (reinstate) a suspended California limited liability company for as little as $500 plus the costs, depending on what is involved. Please note that a suspended California LLC cannot be dissolved, or cancelled, until it is first brought back into good standing.

Dissolve an Inactive LLC.
We can help you dissolve (close down) an inactive LLC that is in good standing for as little as $499. Read why an inactive California LLC should be dissolved by clicking the link above.
